Gigabuyportal LP provides cloud-based procurement software designed to streamline purchasing and vendor management for Canadian B2B teams. Our Service includes but is not limited to procurement tools, vendor management features, reporting capabilities, and related functionality. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.
By using the Service, you represent and warrant that you are at least 18 years of age and possess the legal authority to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to use the Service only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Prohibited behavior includes harassing or causing distress or inconvenience to any person; transmitting obscene or offensive content; disrupting the normal flow of dialogue within the Service; attempting to gain unauthorized access to our systems; or engaging in any form of automated data collection without express written permission.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIGABUYPORTAL LP, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO CASE SHALL GIGABUYPORTAL LP'S TOTAL LIABILITY TO YOU IN CONNECTION WITH THE SERVICE EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. GIGABUYPORTAL LP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
The Service may contain links to third-party websites and services that are not operated by Gigabuyportal LP. We do not endorse, control, or assume responsibility for the content, accuracy, or practices of these third-party services. Your use of third-party services is governed by their respective terms and privacy policies. We are not liable for any damage or loss incurred from your use of third-party services.
Your right to use the Service commences upon your acceptance of these Terms and continues according to the terms of your subscription agreement. Gigabuyportal LP may terminate or suspend your access to the Service immediately and without notice if we determine that you have violated these Terms or engaged in unlawful or harmful activity. Upon termination, your right to use the Service ceases immediately, and you must cease all use of the Service.
You agree to indemnify, defend, and hold harmless Gigabuyportal LP and its directors, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property or other rights.
Gigabuyportal LP reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by sending you an email notification. Your continued use of the Service following the publication of updated Terms constitutes your acceptance of such changes. If you do not agree to any modification, your sole remedy is to cease using the Service.
These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflicts of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by ADR Institute of Canada (ADRIC) in accordance with its Arbitration Rules, with the arbitration to be conducted in English in Ottawa, Ontario. Each party agrees to bear its own costs and fees, except as otherwise determined by the arbitrator. By agreeing to arbitration, you waive any right to a jury trial or class action.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect to the greatest extent permitted by law.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Gigabuyportal LP regarding your use of the Service and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.
